This Services Agreement ("Agreement") is made effective as of the date below, by and between EDGAT, LLC dba EDGAT: Home ("Service Provider") and the client named below ("Client").

Services ProvidedEDGAT: Home provides remote software support services, including:
- Resolution of software-related issues ("Support Requests")
- More extensive troubleshooting, setup, or consulting ("Advanced Support")
- Other software support services as mutually agreed in writing.
All services are provided remotely via secure digital tools (e.g., AnyDesk, email, phone, video conferencing).
No hardware repair or physical device handling is included.2.
Service Plans & Payment TermsClient agrees to purchase either, or a combination of:
Pay-As-You-Go services,
AND/OR
An Annual Subscription Plan (billed monthly or annually).
Support Requests: Defined as single software-related issues resolved within approximately 20 minutes. Issues exceeding this timeframe may be reclassified as Advanced Support, with prior Client approval.
Advanced Support: Billed at a base rate of $90/hour, with applicable subscriber discounts.
Subscriptions require a 12-month commitment. All fees are non-refundable.
Additional Support Requests beyond plan allowances are billed at current ad hoc rates.
Payment is due upon receipt of invoice. Late payments may result in suspension of services.

Client ResponsibilitiesProvide timely remote access to devices and necessary software.
Maintain full, up-to-date data backups prior to any service session.
Ensure devices meet the Service Limitations outlined below.
Follow reasonable guidance from EDGAT: Home to facilitate service delivery.
4.
Limitation of LiabilityClient acknowledges that:
Software support services carry inherent risks, including potential data loss, corruption, or system performance issues. EDGAT: Home will exercise reasonable care and expertise; however, the Service Provider is not liable for:
- Data loss
- Software or hardware malfunctions
- Security vulnerabilities
- Incompatibilities arising from outdated systems or unsupported software
It is solely the Client’s responsibility to ensure data is properly backed up before any service interaction.5.
IndemnificationThe Client agrees to indemnify and hold harmless EDGAT, LLC (EDGAT: Home) from any claims, damages, losses, or expenses (including attorney’s fees) resulting from:
- Use of outdated or unsupported operating systems.
- Failure to maintain data backups.
- Pre-existing device or software issues.
- Third-party claims related to devices serviced.
6.
Service LimitationsEDGAT: Home supports only devices running Microsoft Windows operating systems that are currently supported by Microsoft (i.e., within Microsoft's official support lifecycle), including
Windows 10 (
through October 2025) and
Windows 11. Older versions that are no longer supported by Microsoft should be upgraded to ensure security and compatibility.
EDGAT: Home does not provide support for:
- macOS, Linux, ChromeOS, iOS, Android, or other non-Windows systems.
- Devices running end-of-life (EOL) Windows versions (e.g., Windows 7, 8, XP, etc.) unless a separate written agreement is executed acknowledging risks.
The Client understands that attempting to run modern software on outdated hardware or unsupported systems may lead to unresolved issues, instability, or incompatibility, for which EDGAT: Home assumes no responsibility.
Support Requests expire monthly and do not roll over.
Subscription discounts apply only while the subscription is active.
Upgrades to higher-tier plans are available per EDGAT: Home's published policies. Downgrades occur only at renewal.
7.
TerminationSubscriptions are binding for 12 months. Early termination by Client does not entitle Client to any refund.
EDGAT: Home reserves the right to terminate this Agreement for misuse of services, non-payment, or breach of terms.
8.
Independent ContractorEDGAT: Home operates as an independent contractor. Nothing herein creates an employment, partnership, or joint venture relationship.
9.
Governing LawThis Agreement is governed by the laws of the State of Iowa, United States.
10.
Entire AgreementThis document constitutes the full agreement between the parties. Any modifications must be made in writing and signed by both parties.
